This experience allows me to draft contractual and transactional documents, and to structure transactions in a manner which will, hopefully, anticipate and avoid future legal issues. I have litigated disputes in numerous forums, including state and federal courts, state and federal courts of appeal, and arbitration and administrative tribunals. Notable cases in which I have been involved include: Cobiz Financial v. CF Homes, L.L.C., No. ICA-CV09711, (Ariz. App. 2010); Gen. Acc. Ins. Co. v. Namesnik, 790 F.2d, 1397 (9th Cir. 1986); Arunski v. PET Pool Products, Inc., 2010 WL 987164 (2010); In Re Whitmer, 170 Ariz. 522 (1992); In Re Zang, 166 Ariz. 426 (1990). Recently, I obtained a judgment in favor of a corporate client in the amount of $656,718.00 against a former officer and director of the corporation for breach of fiduciary duty, conversion and breach of contract.

My construction law practice includes drafting and reviewing construction contracts, pursuing and defending construction defect lawsuits. I also represent homeowners and contractors in Registrar of Contractors hearings. Additionally, I am experienced in assisting clients in making a claim to the Arizona Residential Contractors' Recovery Fund with the Arizona Registrar of Contractors. I can also offer advice as to the proper action to take should a homeowner feel that he or she is being overcharged by a contractor. Similarly, I can assist contractors in disputes regarding allegedly defective construction or nonpayment by homeowners.

Creation of Business
Prior to starting any business, every client should speak with an attorney regarding the proposed venture. I work in conjunction with the client's tax advisor to assist the client in making the proper decision as to what type of business entity would be most suitable for the client's particular venture. The types of entities which may be considered are a corporation, a subchapter S corporation, a limited liability company, a partnership, or a sole proprietorship. Once the type of entity has been decided upon, I will draft and file the appropriate documents to successfully establish the entity. Additionally, clients, on an ongoing basis, are periodically advised of any changes in the law which might affect their choice of entity.
